How an engagement starts

A website visit, report walkthrough or diagnostic conversation does not commit either party to a project. Work starts only when the parties agree a written proposal, statement of work or other contract covering scope, deliverables, timetable and fees.

The focused service

UnflakeOps provides workflow investigation, process improvement and automation services, including solutions built with Microsoft Power Platform. A reporting pilot normally begins with one agreed recurring report, its sources, checks, hand-offs and approval process.

Any examples on the website are illustrative. Feasibility, measures of success and the final technical approach are agreed for the client’s actual systems and data.

Scope and change control

The project document states what is included and excluded. A change to report scope, data sources, integrations, users, security requirements, timetable or deliverables may affect price and delivery dates. Material changes must be agreed in writing before the additional work begins.

Client responsibilities

• Provide timely access to the appropriate people, redacted examples, systems and information.
• Confirm reporting definitions, source-data accuracy, access permissions and business decisions.
• Review outputs and approve changes before production use.
• Keep suitable backups and comply with obligations that apply to the charity and its data.

Delays or incomplete information may require the timetable and scope to be revised.

Microsoft and third-party services

Microsoft 365, Power Platform, connectors and other third-party products are supplied under their own terms. Required licences, environments, capacity and connector availability are checked during scoping but remain subject to the relevant provider. Unless the project document says otherwise, third-party subscriptions and usage charges are the client’s responsibility.

Testing, acceptance and handover

Success criteria and the review process are agreed before a build starts. The client will test the deliverable with appropriate users and report material issues within the review period stated in the project document. We will address issues where the agreed deliverable does not meet its documented acceptance criteria.

Handover includes the documentation, ownership information and exception process listed in the scope. Ongoing support or later changes are included only when agreed.

Data, security and confidentiality

Each party will protect the other’s confidential information and use it only for the engagement. Access to client systems and data will be limited to the agreed work. If we process personal data for the client, appropriate processing and security terms must be in place before access begins.

Deliverables and intellectual property

Unless the project document says otherwise, the client owns bespoke deliverables created specifically for it once the related fees are paid. UnflakeOps keeps ownership of pre-existing materials, methods and reusable know-how, while granting the rights needed to use the delivered solution.

Fees and payment

Fees, VAT treatment, expenses, milestones and payment dates are set out in the project document. Unless agreed otherwise, invoices are payable within 30 days. We may pause work on reasonable notice if an undisputed invoice remains overdue.

Care, risk and liability

We will provide the services with reasonable care and skill. Automation depends on the quality, availability and permitted use of source systems and data. The client remains responsible for business decisions and final review of reports.

Any warranties, liability limits and remedies are set out in the project document. Nothing excludes liability that cannot lawfully be excluded.

Ending an engagement

Either party may end an engagement as stated in its project document, including for a material breach that is not remedied within an agreed period. The client will pay for completed work and authorised costs up to the effective end date. Each party will return or delete confidential information as agreed and subject to legal retention duties.

Law and questions

These terms are governed by English law, and the courts of England and Wales have exclusive jurisdiction unless the parties agree otherwise in writing.
